B.Y.G.'s Subsidiary Closes Special Warrant Financing and Private Placement of Omni Shares.

WHITEHORSE, Yukon--(BUSINESS WIRE)--July 30, 1996--B.Y.G NATURAL RESOURCE (Alberta Stock Exchange: BYG) B.Y.G. Natural Resources Inc. announced today the completion of three financings of its subsidiary, Trumpeter Yukon Gold Inc.(formerly 13733 Yukon Inc.), that have provided gross proceeds of $6,638,200. B.Y.G. also announced that the Trumpeter private placement for shares of Omni Resources Inc., previously announced on April 18, has closed.

Trumpeter Yukon has closed a European special warrant financing for total proceeds of C$2,440,200 representing 4,067,000 units at $0.60 per unit. The special warrant entitles the holder to convert one warrant to one class A common share of Trumpeter Yukon Gold Inc. Should Trumpeter Yukon fail to meet certain stock exchange listing requirements by October 31, 1996, the warrant holders will be entitled to 1.1 class A common shares for every full warrant. The Class A common shares of Trumpeter Yukon issuable upon conversion of the special warrants, will be qualified by a prospectus to be filed under the relevant provincial securities laws.

B.Y.G. has advanced $3.0 million to Trumpeter Yukon which it expects to convert into an investment of 5 million shares of Trumpeter Yukon.

Trumpeter Yukon has also closed in late June 1996 a flow-through financing for proceeds of C$1,198,000 representing 2,995,000 class A common shares of Trumpeter at $0.40 per share. There is a 12-month hold period on these shares subsequent to the clearance of Trumpeter Yukon's prospectus and stock exchange listing.

Trumpeter Yukon has issued 4.8 million class A shares and 4.0 million class B multiple voting shares to B.Y.G. in consideration for 100 percent of the Arctic Mine and 50 percent of the Tawa claims. A prospectus for Trumpeter Yukon is scheduled to be filed early in August. Upon a successful stock exchange listing B.Y.G. will dividend one Trumpeter Yukon class A common share which, along with Trumpeter, will issue one half right for every ten B.Y.G. common shares held by existing B.Y.G. shareholders. One full right and $0.60 will entitle the holder to purchase one full share of Trumpeter Yukon; the holder of the right can elect to purchase the Trumpeter Yukon common share as a flow-through share at a small premium.

The record date for the dividend transaction must follow the date of acceptance of Trumpeter Yukon's final prospectus, which could be as early as September 15, 1996 and is expected no later than October 31, 1996. Upon acceptance B.Y.G. will give notice of the date of record.

The previously announced private placement for 3 million shares of Omni Resources Inc. at $1.00 per share with Trumpeter has been completed. Each share carries a full warrant entitling Trumpeter Yukon to purchase a further 3 million shares at $1.50 for a period of one year. Upon exercising its warrants to purchase the additional 3 million shares, Trumpeter Yukon will have the right to purchase for $10.00 (ten dollars) a full 50 percent interest in Omni's properties in the Wheaton River area.

Omni either owns or has an option to own in excess of 1,000 contiguous mineral claims with excellent road access in the agreed area of interest in the Wheaton River Valley, 40 miles south of Whitehorse.

The Omni properties consist of:

The main Omni property which hosts the developed Skukum Creek deposits (513,000 tons at 0.335 opt gold equivalent). The structures are open and the developed mine has been reopened and a drift has been completed to allow drilling the deposit to depth. Underground diamond drilling is expected to commence within two weeks.

The adjoining Mt. Skukum property on which is located a complete 300-tonne-per-day gold cyanide mill and large tailings facility, and the partially developed oxide Lake Zone (84,127 tons at 0.553 opt gold). The structure is open. Metallurgical testing is underway, the results of which will be incorporated into B.Y.G.'s engineering for its planned pressure oxidation facility being designed to treat sulphide concentrates from Mt. Nansen, Omni and other refractory deposits in the region. Omni's target feasibility study envisages treatment of at least 500 tonnes per day of ore at its mill.

The adjoining Goddell property where drilling last fall confirmed continuity of the mineralization and structure of a major gold discovery. In 1988 two holes intersected 0.115 opt gold over 113 feet and 0.135 opt gold over 209 feet, and drilling further indicated a potential of 625,000 tons at 0.16 opt gold with an average true width of 38 feet with much higher grades at lesser widths. The zone is open on strike and to depth with parallel zones indicated.

A portal site has been accessed, cleared and is being prepared for the driving of a decline parallel to the Goddell structure. The decline will allow both exploration by underground diamond drilling along the unexplored strike of the deposit and underground mining. The first underground drill site should be reached within six weeks. Trumpeter Yukon Gold's wholly-owned Arctic Mine (80,000 tonnes at 0.53 opt gold equivalent) is within economic trucking distance of the Omni mill.

Trumpeter Yukon Gold Inc. is a subsidiary of B.Y.G. Natural Resources Inc. It will seek gold projects and accompanying assets, as well as obtain financing, independent of B.Y.G. Trumpeter Yukon will immediately complete and expand B.Y.G.'s strategic plan for the development of gold projects and metallurgical facilities in the Yukon and region.

B.Y.G. holds 100 percent interest in four distinct gold deposits at the Mt. Nansen property in the Yukon. All the necessary financing is in place and the Mt. Nansen mine is scheduled to begin production in September this year at an average annual rate of 70,000 equivalent ounces of gold.
