B. Riley & Co. Acts as Exclusive Financial Advisor in Completion of $20.5 Million Financing and Share Exchange Agreement for Strasbaugh.

LOS ANGELES & NEWPORT BEACH, Calif. -- B. Riley & Co. announced today that it was the exclusive financial advisor to Strasbaugh Inc. in completing a total of $20.5 million in a combination of equity and debt financing, as well as advising Strasbaugh Inc. in its share exchange with CTK Windup Corporation.

The funding included $13.0 million in a convertible preferred stock financing and $7.5 million in a credit facility.

B. Riley's Managing Directors Andre Guardi and Paul Donnelly; and Director of Capital Markets Wes Cummins represented Strasbaugh in the transaction.

Strasbaugh is a 59-year-old, San Luis Obispo, California-based company which provides precision surfacing solutions to the international semiconductor, telecommunications and precision optics industries, from high-quality grinding tools to innovative prime wafer polishing and CMP systems. Strasbaugh has over 700 active customer installations for its systems and tools.

The companies have announced that going forward CTK Windup Corporation and Strasbaugh will continue operations under the name Strasbaugh, which will be traded under the new stock symbol STRB.PK.
