Avondale Partners Announces Second Seminar in Shareholder Value Series; Private Capital Seminar Scheduled for November 30, 2005.

NASHVILLE, Tenn. -- Jeff Nahley, senior managing director and head of the investment banking group of Avondale Partners, LLC, today announced that the company will host the second in a series of shareholder value seminars designed to bring together senior executives of privately

held companies and institutional sources of private debt and equity. Avondale Partners, a national investment banking firm, is headquartered in Nashville.

The seminar, "Private Capital for Private Companies," is a one-day program that will be held Wednesday, November 30, at Loews Vanderbilt Hotel in Nashville. This event will target private company executives and directors as well as private equity investors and lenders.

"CEOs, CFOs and directors of companies considering growth or acquisition financing aren't always aware of the most appropriate way to fund their organizations with private capital," said Nahley. "It's important that they understand the different layers of the capital structure and get to know who the key players are in the private placement market. We've designed the content of this seminar to address these issues."

The private capital seminar will feature leading experts in senior and subordinated debt and private equity, a discussion of the general market trends and structural considerations in private financings, as well as a panel of company executives who have relied on private placements to support the growth or expansion of their companies. "We saw a void in the Nashville marketplace for a national investment banking firm to bring in and introduce well-known private capital sources from across the United States to private company executives."

The format for the November 30 seminar includes presentations and three panel discussions.
