Avocent Completes Equinox Acquisition.

HUNTSVILLE, Ala.--(BUSINESS WIRE)--Jan. 4, 2001

Avocent Corporation (Nasdaq/NM:AVCT AVCT Advanced Vehicles Concept Team ) today announced that it completed the acquisition of Equinox equinox (ē`kwĭnŏks), either of two points on the celestial sphere where the ecliptic and the celestial equator intersect. The vernal equinox, also known as "the first point of Aries," is the point at which the sun appears to cross the  Systems Inc. (Nasdaq/NM: EQNX) effective January 3, 2001.

Equinox stockholders approved the acquisition at a special meeting held on January 2, 2001. Under terms of the acquisition agreement, Equinox stockholders will receive $9.75 per outstanding share payable in cash. The acquisition is valued at approximately $57 million.

"We plan to quickly integrate the operations of Equinox to expand our digital console management offerings to the Unix platform, and enhance our network communications product development and software development programs," stated Stephen F. Thornton, president and chief executive officer of Avocent Corporation. "We have been working closely with the Equinox team since the acquisition was announced in November and are excited about the opportunities to expand our system management solutions for ISPs and ASPs through the combination of our joint resources.

He will be based in Florida and will facilitate the integration with the other Avocent product development organizations.
