Aventis' MyDocOnline Subsidiary and Cybear Enter into Asset Purchase and Licensing Agreement for Key Services.

MyDocOnline, Inc., a subsidiary of Aventis Pharmaceuticals Inc., and Cybear Inc., a member of Andrx Corporation - Cybear Group (Nasdaq:CYBA), today announced that they have entered into a joint marketing and asset purchase agreement.

As part of the agreement, MyDocOnline (MDOL) will purchase Cybear's physician practice website division, MyDoctor.com, and license certain Cybear applications. Additionally, the two companies will initiate a collaborative marketing effort between MDOL and Cybear's Physicians' Online (POL) operation. Total compensation to Cybear is $4.5 million, payable over three years.

POL will exclusively market MDOL's physician-patient interface tool to POL's 225,000-registered user physician base. POL and MDOL will actively work to transition the approximately 10,000 POL physicians who currently utilize MyDoctor.com websites to MDOL's sites, which MDOL is currently enhancing. The MDOL website will be a more robust offering of patient/physician tools. MDOL's inventory of tools will include a prescription management application operating under Cybear's patented prescription technology and Cybear's laboratory order entry and results reporting system, Dr. Chart(R), which also will be modified to allow MDOL subscribers to import laboratory reports and incorporate them into MDOL's communication system, customized for patients. Physicians who use POL and MyDocOnline will be able to link easily from one site to the other.

As part of the co-marketing agreement, MDOL or Aventis affiliates plan to include registration software for POL on CD's distributed to physicians and offer Marketplace@Cybear, an online purchasing site for pharmaceuticals, medical and office supplies to interested MDOL subscribers.
