(NASDAQ:SDSK SDSK Sep Doo Soo Kai (association) ) announced today that they have received early termination of the waiting period under the Hart Scott Rodino Antitrust Improvements Act of 1976 from the Federal Trade Commission, that Softdesk shareholders have approved the transaction, and that Autodesk's acquisition of Softdesk has closed effective March 31, 1997.

Under the terms of the agreement, approved by the Boards of Directors of both firms, Autodesk will issue .477327 shares of its common stock for each outstanding share of Softdesk common stock. As previously announced, Autodesk will account for the merger using the purchase method.

Softdesk and its complete product families will be integrated into Autodesk's AEC AEC US Atomic Energy Commission
