Autodesk Expands Board, Adds Key Member; Jerre Stead, Industry Chieftain Joins Fourth Largest PC Software Company.

SAN RAFAEL, Calif.--(BUSINESS WIRE)--Sept. 18, 1995--Autodesk today announced that it added Jerre Stead to its board of directors, and increased the board's size from six to seven members.

As chairman and CEO of Legent Corporation, Stead was one of the key architects behind the recent acquisition of Legent by Computer Associates. CEO Carol Bartz is now the only company employee on the board.

Stead joins two other recent additions to the Autodesk board, Morton "Mort" Topfer, vice chairman of Dell Computer and Mary Alice Taylor, a senior vice president with Federal Express. Earlier this week, Autodesk announced that Topfer and Taylor had filled the two vacancies created by departing board members.

Stead served as Chairman and CEO of Legent from January of 1995 until Legent was acquired on August 15, 1995. Prior to that, he was chairman and chief executive officer of AT&T Global Information Solutions (formerly NCR), and executive vice president for AT&T. Stead was a member of AT&T's executive committee and the global operations committee.

As head of AT&T Global Information Systems, Stead led the company in a new strategic direction, combining the strengths of computing and communications to provide customers with solutions based around acquiring, moving, and using information. Under his leadership, the company launched cross-functional customer-focused teams dedicated to understanding the needs and interests of specific industries.

Prior to joining NCR in 1993, Stead was president and CEO of AT&T Global Business Communications Systems, where he transformed it into one of the most profitable competitors in the industry. Before AT&T, Stead was chairman and president of the Square D Company in Palatine, Illinois. Square D is a world leader in industrial control and electrical distribution systems and services.

Stead also spent 21 years at Honeywell, Inc. in a number of management positions including international and domestic general management, sales, marketing, manufacturing, research and development, and finance administration.

Autodesk's other new board members bring equally strong credentials. Mort Topfer brings 35 years of senior management experience to Autodesk. His strong international and product technology background has helped lead major business expansions at Dell Computer and Motorola. At Motorola, Topfer was responsible for developing its $3 billion two-way radio business. As vice chairman of Dell Computer, he shares the office of the CEO with Chairman Michael Dell. In this capacity, he is responsible for managing the ongoing operations of this global computer systems company, which had revenues of $3.5 billion in its last fiscal year.

Mary Alice Taylor, senior vice president-Americas and the Caribbean, runs the largest division at Federal Express Corporation, managing approximately half of the company's 112,000 worldwide employees. Her division is responsible for all pick-up and delivery operations in North and South America and the Caribbean islands. During her 15-year career at FedEx, she has been recognized for her outstanding leadership. She progressed through the ranks in various capacities, including responsibility for total operational systems, form planning and engineering, global operations scheduling and control, all national hub sorting operations, and worldwide properties and real estate. Federal Express is the world's largest express transportation company with revenues of $9.4 billion.
