Audible Announces Pricing of Common Stock Offering.

The common stock is expected to be issued on November 23, 2004, subject to customary conditions. Several stockholders of the Company are also selling 3,725,000 shares of common stock in the offering.

Audible expects to receive net proceeds Net Proceeds

The amount received after all costs are deducted from the sale of a piece of property or security.

In the case of an investor selling a security, net proceeds represent the proceeds from the sale minus any trading costs (i.e. commissions).
 of approximately $34.5 million from the sale of the 1,500,000 shares. If the underwriters elect to exercise an option to purchase from the Company an additional 522,500 shares of common stock to cover over-allotments, the Company will receive an additional approximately $12.1 million in net proceeds. Audible plans to use these proceeds for general corporate purposes.
