Under the shelf registration statement, the Company and/or the selling stockholders may sell up to an aggregate of $125 million of common stock from time-to-time in one or more offerings. The Company currently has no immediate plans to sell common stock, but intends to evaluate market conditions over time. Proceeds to the Company from an offering would be used for general corporate purposes and potential acquisitions. The Company will not receive any proceeds from the sale of the common stock by the selling stockholders.
