You are hereby notified that Chitwood & Harley has filed a securities class action in the United States District Court for the Southern District of Texas on behalf of a class of persons and entities, other than Defendants, who purchased Evans Systems common stock between December 29, 1997 and June 8, 1999, inclusive (the "Class Period").

The complaint alleges that Evans Systems and certain of its officers and directors have violated certain provisions of the Securities Exchange Act of 1934. The complaint alleges that Defendants manipulated Evans Systems' reported revenues, expenses and earnings through improper and misleading accounting practices in violation of Generally Accepted Accounting Principles in order to achieve their goal of reporting substantially increased revenue in earnings during the Class Period and to artificially inflate and maintain the price of Evans Systems' stock. The Company announced on June 8, 1999 that its previously reported financial statements for fiscal years 1997 and 1998 would be restated due to the material overstatement of revenue and earnings. Accordingly, the complaint alleges that Defendants have acknowledged that they materially misstated Evans Systems' reported financial results for fiscal years ending September 30, 1997 and 1998, as well as for the quarters ended December 31, 1998 and March 31, 1999, by failing to record asset write-downs and liabilities in a timely and adequate manner. The complaint alleges that Defendants' misrepresentations and/or omissions caused the price of Evans Systems' stock to be artificially inflated during the Class Period.
