Atrix International Announces Filing of a Revised Preliminary Proxy Statement.

MINNEAPOLIS--(BUSINESS WIRE)--March 29, 1999--Atrix International, Inc. of Burnsville, MN announced today that it has filed a revised Preliminary Proxy Statement with the Securities and Exchange Commission in response to SEC comments to the Company's initial Preliminary Proxy Statement. The Proxy Statement relates to the previously announced proposed merger among the Company, Atrix Acquisition Corp. and Steven D. Riedel, the Company's President and Chief Executive Officer. Pursuant to the proposed merger, each outstanding share of Atrix Common Stock will be converted into the right to receive $2.00 in cash per share. The Company also announced that Mr. Riedel has recently completed renegotiating the financing commitment for the proposed merger. The Company now expects that the merger will close in the second calendar quarter of 1999. Completion of the merger remains subject to various customary conditions, including approval of the Company's shareholders and financing.
