The stock split will be effected as a stock dividend. Stockholders of record as of the close of business on December 3, 1999 will be issued a certificate representing one additional share for each share of common stock held on the record date. These certificates will be distributed on December 17, 1999. The stock split will increase the number of shares of common stock outstanding from approximately 100,874,017 shares to approximately 201,748,034 shares. George Perlegos, Atmel's Chief Executive Officer, commented, "The Board of Directors authorized this stock split principally to make Atmel stock more available to investors and continue broadening our shareholder base."
