Atlas Pipeline Partners, L.P. (AMEX:APL) the "Partnership") announced that it filed a registration statement on Form S-2 under the Securities Act of 1933 for a proposed public offering of up to 1,092,500 common units of limited partner interest.

The net proceeds from the proposed offering are intended to repay amounts drawn under the Partnership's line of credit, purchase gas compressor units to replace those currently under lease and to fund continued expansion of the Partnership's gas gathering pipeline system to service wells expected to be connected during 2003 and 2004.

The public offering will commence as soon as practicable after the registration statement is declared effective by the U.S. Securities and Exchange Commission.

The Partnership has engaged Friedman, Billings, Ramsey & Co., Inc., a subsidiary of Friedman, Billings, Ramsey Group, Inc., McDonald Investments Inc., a KeyCorp Company, and Sanders Morris Harris as underwriters of the public offering.

A registration statement relating to these securities has been filed with the U.S. Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
