 Group, Inc. ("company") Friday announced that following board and shareholder approval, the reverse and forward splits of its shares of common stock became effective on Jan 31, 2000.

The net effect of the two splits resulted in a 1 for 2 reverse stock split of the company's common stock. Fractional shares resulting from the reverse split will not be issued but in lieu in lieu prep. instead. "In lieu taxes" are use taxes paid instead of sales tax. A "deed in lieu of foreclosure" occurs when a debtor just deeds the property securing the loan to the lender rather than go through the foreclosure process.  thereof, holders of fractional shares will receive cash at the rate of $2.51 per share.
