U.S. market for over-the-counter securities. Established in 1971 by the National Association of Securities Dealers (NASD), NASDAQ is an automated quotation system that reports on
:APWRE), announced today that it has received notice from a Nasdaq Listing Qualifications Panel indicating that the company's common stock will be delisted from the Nasdaq National Market effective with the open of business on Friday, July 25, 2003.

This decision arises as a result of AstroPower's previously announced failure to timely file its Annual Report on Form 10-K Form 10-K

A report required by the SEC from exchange-listed companies that provides for annual disclosure of certain financial information.

 for the first quarter of 2003 because of its ongoing review of revenue recognition matters. The Listing Qualifications Panel denied AstroPower any further extension of time to make these filings.

AstroPower intends to appeal the Panel's decision to the Nasdaq Listing and Hearing Review Council, but this appeal will not stay the delisting Delisting
