Astro Sciences announces results for the third quarter.

CHATSWORTH, Calif.--(BUSINESS WIRE)--Feb. 8, 1996--Astro Sciences Corp. (NASDAQ:AOSC) announced today that the company recorded a loss of $136,292, or $0.02 per share, on revenues of $4,206,683 for the quarter ended Dec. 31, 1995 as compared to net income of $27,276 or $0.01 per share, on revenues of $3,945,967 for the same quarter of the prior year.

For the nine months ended Dec. 31, 1995, the company recorded a loss of $618,911, or $0.08 per share on revenues of $12,407,327, compared to a net loss of $1,889,766, or $0.35 per share, on revenues of $9,799,002 for the same period in the prior year.

The company's loss for the third quarter places it out of compliance with the maintenance of earnings covenant contained in its line of credit financing agreement. The company has notified its lender of the impending violation and is attempting to negotiate a waiver of compliance with that covenant. Should the company fail to negotiate a waiver of the covenant, the lender has the right to require repayment of all amounts outstanding or to cease further advances to the company under the line of credit. There can be no assurance that the company will be successful in negotiating a waiver with terms that are acceptable to the company. The company anticipates that any waiver granted by the lender will include a requirement that the company obtain additional capital from other sources. The company is currently evaluating other sources of capital, but there can be no assurance that the company will be able to obtain the additional capital necessary.

Dr. Gerald R. Sayer, president and ceo of the company, stated that the loss for the third quarter was primarily due to increased competitive pressure on margins and increases in general and administrative costs related to the management reorganization that is in progress. With a more efficient management structure in place, the company's goal over the ensuing months is to improve gross margins and to be able to respond rapidly to changes in the market environment.

Astro Sciences Corp. manufactures remote access communication servers, network application servers and gateways for Local Area Networks ("LANs") and Wide Area Networks ("WANs"), which are sold under its J&L Information Systems label. -0-
