Under terms of the agreement, holders of Fidelity New York F.S.B. common stock will receive $29 in cash for each share. The transaction is subject to approval by the appropriate regulatory authorities. Subject to completion of regulatory approval and the remaining conditions of the agreement, the transaction is expected to close during the first quarter of 1995.
