 Ownership Interests for $4,800,000.

The sale resulted in a one-time gain of approximately $2,600,000 which will be included in the company s fourth quarter 1995 income.

Spencer I. Browne, President and Chief Executive Officer, stated, "This transaction is significant because it substantially eliminates Asset Investors ownership of derivative assets and allows the company to continue to focus on its core business of acquiring and managing high-yield bonds backed by home mortgage loans."
