AspenTech Acquires IISYS, Inc.; Enhances Yield-accounting Software Technology.

IISYS develops and markets yield-accounting solutions that combine object-oriented design Transforming an object-oriented model into the specifications required to create the system. Moving from object-oriented analysis to object-oriented design is accomplished by expanding the model into more and more detail.  and a knowledge-based reconciliation algorithm to track inventory and material movements into, through and out of a processing plant. By reconciling information gathered from control and other plant systems, this technology enables manufacturers to accurately report production data to their ERP (Enterprise Resource Planning) An integrated information system that serves all departments within an enterprise. Evolving out of the manufacturing industry, ERP implies the use of packaged software rather than proprietary software written by or for one customer.  and other business systems. IISYS customers include Shell Services Co., Texaco Refining & Marketing, Inc., and other leading petroleum companies.

Total cash consideration for the IISYS acquisition was $8.4 million, plus the assumption of $1.6 million in IISYS debt. The acquisition will be accounted for as an asset purchase. AspenTech anticipates it will post a one-time charge in connection with acquired in-process research and development of approximately $8.5 million, and believes that, excluding this write-off, this acquisition will not dilute fiscal 1998 earnings per share.
