Asia Pacific Resources Ltd.: Completion of Amendments to Convertible Debentures.

Asia Pacific Resources Ltd. ("APR") (Nasdaq:APQCF)(TSE:APQ.)(Frankfurt:APQ) is pleased to announce that the closing relating to the previously announced negotiated amendments (the "Amendments") to its US$24,460,000 principal amount of 10% Convertible Secured Convertible Debentures, Series 1 (the "Debentures") was completed on July 20, 2000.

The Amendments to the Debentures included, among other things, an extension of the maturity date of the Debentures to October 13, 2001, the pledge of additional security to secure the repayment of the Debentures and a reduction in the conversion price of the Debentures.

If the Debentures were converted immediately prior to maturity, approximately 16 million APR Common Shares would be issued to holders of Debentures. No interest or premium is payable to holders on conversion.

APR has scheduled an Extraordinary Meeting of its members for August 9, 2000 requesting members to approve the issuance of up to 16 million Common Shares on conversion of the Debentures, as amended. Without such approval, The Toronto Stock Exchange will only permit the issuance of approximately 13.6 million Common Shares and, on conversion the Debentures would have to be satisfied by APR partially in Common Shares and partially in cash.

Asia Pacific's Somboon potash project is located near Udon Thani, Thailand, about 500 kms from Bangkok. The proposed mine will produce two million tonnes of potash annually.
