The financing comprises the equivalent of $36 million in the form of US dollar denominated debentures, convertible into common shares of the company at an exercise price of C$4.00 per share, together with a private placement of C$12 million representing 3 million common shares at a price of C$4.00 per share. The debentures will have a two-year maturity and upon conversion, a further 9 million shares would be issued, for a total of 12 million shares in respect of the financing. These shares would then be approximately 19 percent of the total shares issued in the company. Any fluctuations in the U.S. and Canadian currency exchange rate will not affect the number of shares issued under the Debentureand, upon conversion, the interest accrued under the debentures will be waived.
