) today announced the completion of a financing package with Southridge Capital Management, LLC (Logical Link Control) See "LANs" under data link protocol.

LLC - Logical Link Control
 (Southridge) of up to $25 million.

The financing, which is structured as an equity line of credit agreement, provides Ashton the right to require Southridge to purchase shares of its common stock pursuant to the terms of the agreement, subject to certain conditions as forth in the agreement.

The purchase price for the shares will be an amount equal to 90% of the defined market price during the valuation period, subject to certain adjustments as set forth in the agreement. In addition, Southridge will be entitled to receive warrants to purchase shares of Ashton common Coordinates:

Ashton Common is a hamlet in Wiltshire, England, located on the Common Hill a little south of the A350 road. The hamlet belongs to the civil parish of Steeple Ashton.
