") of 5,446,900 units (the "Units") raising gross proceeds of $10,893,800. Trading will begin on the Toronto Stock Exchange Toronto Stock Exchange (TSE)

Canada's largest stock exchange, trading approximately 1,200 company stocks and 33 options.
 (the "Exchange") on November 22, 2005, under the symbol ACX for the Common Shares and ACX.WT for the warrants.

The syndicate for the offering was led by Haywood Securities Inc. and included Canaccord Capital Corporation (the "Agents").

Each Unit consists of one Common Share and one listed warrant to purchase an additional Common Share at $2.50 until November 21, 2010. The Agents received a commission which was paid partly in cash ($25,000) and by the issuance of 341,548 units, with each unit consisting of one Common Share and one transferable warrant to purchase an additional Common Share at $2.50 until November 21, 2010. The Agents also received compensation options to purchase up to a total of 354,048 Common Shares exercisable at $2.00 per Common Share until May 21, 2007.

Junin Project

Ascendant's principal project, the Junin project, is a copper-molybdenum, gold and silver porphyry property with an inferred mineral resource of 982 million tonnes grading 0.89% copper (Cu), 0.04% molybdenum molybdenum (məlĭb`dənəm) [Gr.,=leadlike], metallic chemical element; symbol Mo; at. no. 42; at. wt. 95.94; m.p. about 2,617°C;; b.p. about 4,612°C;; sp. gr. 10.22 at 20°C;; valence +2, +3, +4, +5, or +6.  (Mo) and 1.9 grams per ton of silver (Ag), at a 0.4% copper cut-off grade (See on SEDAR the Technical Report dated April 7, 2005, and amended August 5, 2005 and October 12, 2005, entitled "Technical Report Review of the Quartz Porphyry-Hosted Copper-Molybdenum Mineralisation at Junin, Otavalo, Ecuador" prepared by Qualified Person, Paul D. The Junin project is located in the province of Imbabura in northwest Ecuador, approximately 135 kilometres north-northwest of the capital city of Quito. The project consists of 9,505 hectares. Although the topography is rugged, suitable areas for tailings disposal, processing plant site and waste disposal have been identified within or adjacent to the project area.

Regional geochemistry investigations were carried out in the mid-1980's. The first drilling occurred from 1991-1993 and the program was comprised of 10 holes. At the end of 1993, the project was turned over to Bishi Metals. Bishi completed four years of exploration by drilling an additional 20 holes. In total, these 30 drill holes accounted for slightly over 9,700 meters of drilling. Once these holes were completed, a geologic, reserve model was created.

Due to a large amount of civil unrest and an unworkable mining law, Bishi Metals left the area in 1997. Ecuador introduced a new mining law in 2000.

In 2004 and 2005, Ascendant acquired the mining concessions to the Junin property and currently has control of all core data, core logs, and other information pertaining to the prior exploration work. In 2005 Micon conducted an independent evaluation of the prior exploration work and, in accordance with the requirements of National Instrument 43-101, Standards of Disclosure for Mineral Projects, subsequently determined that an inferred resource as described above is present.

Prior to beginning the next phase of drilling, an Environmental Impact Statement (EIS (1) (Executive Information System) An information system that consolidates and summarizes ongoing transactions within the organization. It provides top management with all the information it requires at all times from internal and external sources. ) must be submitted and approved for the project in order to obtain the necessary permits. The EIS is has been developed and prepared and is expected to be filed by the end of November. The review and approval phase should take approximately 60 days from the filing date.

The Chaucha copper-molybdenum, gold, and silver porphyry property is located 70 kilometres to the west of the town of Cuenca in the Chaucha parish of the Azuay province of southern Ecuador. The property consists of 3,000 hectares.

There has been extensive exploration work done on the Chaucha concession dating back to 1968. To date 122 holes totaling over 11,400 metres have been drilled on the concession. Ascendant acquired the concession in 2004.
