Ascend Communications, Inc. Increases Authorized Shares and Announces Two-for-One Stock Split.

ALAMEDA, Calif.--(BUSINESS WIRE)--Sept. 26, 1995--Ascend Communications, Inc. (NASDAQ:ASND) announced today that its stockholders have approved amending the Company's Certificate of Incorporation to increase the authorized Common Stock from 50,000,000 to 200,000,000 shares.

Ascend also announced that its Board of Directors has approved a two-for-one stock split, payable in the form of a stock dividend. Stockholders will receive one additional share for every share held. The dividend will be distributed on or about Oct. 5, 1995 to stockholders of record at the close of business on Sept. 25, 1995. Upon completion of the split approximately 55,000,000 common shares will be outstanding.
