-- To obtain the Company's financial statements for the year
ended December 31, 1999.
-- To appoint Gilad Shabtai, Yoram Oron, Zvi Oren, Dan Halperin
and Ofer Shabtai as directors of the Company.
-- Micha Avnimelech and Israel Gravinski the External Directors
will continue to serve as members of the Board of Directors.
-- To reappoint Ernst & Young as the certified public accountant
of the Company and to authorise the Company's board of
directors to determine their remuneration.
-- To approve annual remuneration to the members of the board of
directors in accordance with the Companies Law - 1999.
