See vasotocin. ) has agreed to purchase the VEBA VEBA Voluntary Employees' Beneficiary Association Electronics Group from Germany-based E.ON E.ON Energy On (German energy company) AG (formerly VEBA AG). E.ON will receive approximately $2.35 billion in cash, including the assumption of debt, for the VEBA Electronics Group, which reported 1999 sales of $5.47 billion. Under the terms of the agreement, Arrow will acquire Wyle Components and Wyle Systems, which reported combined 1999 sales in North America of about $2 billion, for approximately $840 million (including the assumption of debt), subject to various adjustments at closing. Arrow plans to finance the purchase price through a combination of debt, common equity, and equity-linked securities. As with Arrow's prior acquisitions, the integration of the Wyle businesses with Arrow will produce sizeable synergies and the transaction will be accretive to earnings in the first year following the combination.
