Arby's, LLC and Arby's Franchise Association Sign Letter of Intent to Form Management Agreement.

FT. LAUDERDALE, Fla. -- Arby's, LLC and Arby's Franchise Association (AFA) announced today that they have signed a letter of intent to execute a new management agreement between the two companies. The new agreement will be similar to a 1979 agreement that was successfully in effect for 10 years.

"We believe this is an appropriate time to align the system's marketing organization with brand leadership, and appreciate this tremendous vote of confidence shown by our franchisees," said Doug Benham, President and CEO of Arby's, LLC. "With the pending acquisition of RTM, Arby's will become the largest system operator. This agreement will strengthen our commitment of collaboration and alignment, benefiting Arby's and all of our franchisees."

On May 31, 2005, Triarc Companies, Inc. (NYSE: TRY; TRY.B) and RTM Restaurant Group ("RTM") announced that they have entered into a definitive agreement pursuant to which Triarc will acquire RTM. Triarc is the parent of Arby's Franchise Trust, the franchisor of the Arby's(R) restaurant system, which consists of approximately 3,500 restaurants, and is the operator of 233 Arby's restaurants. RTM is Arby's largest franchisee, with 775 Arby's restaurants in 21 states.
