) announced that its registration statement, filed in October on Form S-3, was declared effective by the Securities and Exchange Commission today.

James C. Witham, Chairman and Chief Executive Officer said, "While we recognize that the effectivity of the registration statement could put short term pressure on the stock, we are pleased that the proceeds from private placements completed earlier in the year are enabling AquaCell to move forward with various programs to build long-term shareholder value."

A component of these programs includes the cooler-advertising program through its AquaCell Media subsidiary, whereby the company has started shipping and installing units in drug stores and health care facilities. AquaCell Media will retain ownership of these coolers, and is selling advertising on the cooler's bottle band for health-related and/or personal care items.

Introducing AquaCell

AquaCell, based in Rancho Cucamonga, manufactures and markets products for water filtration and purification through its operating subsidiaries. Its products address various water treatment applications for industrial, commercial, institutional and residential applications. These applications range from providing purified drinking water drinking water

supply of water available to animals for drinking supplied via nipples, in troughs, dams, ponds and larger natural water sources; an insufficient supply leads to dehydration; it can be the source of infection, e.g. leptospirosis, salmonellosis, or of poisoning, e.g.
