Settlement will occur on August 1, 2000, subject to customary conditions and effectiveness of the previously announced spin-off of the company's Electronics segment from its Industrial Businesses. Proceeds from this offering will be used to repay indebtedness in connection with the spin-off of APW Ltd. The Company's Industrial Business, which will be renamed Actuant Corporation, will be the obligor of the notes.
