Apex Mining Division Announces Gold Exploration Work Program Agreement Modification.

Publicly traded Apex Resources Group Inc. (Symbol OTCBB:APXR) announces gold exploration work program agreement modification.

Apex Mining Division

Apex Resources Group Inc. has Gold Claim Option Agreements for the Independence Claims Group and the Bluebird Claims Group in the Nelson Mining Division of British Columbia, Canada.

In recent meetings with the Baygold Syndicate it was mutually agreed to:

1. Both Option Agreements, including the subject mining claims

merge to become one agreement for the sake of simplicity.

2. A letter, once signed by both parties, will serve as a formal

binding amending agreement to the above mentioned Option

Agreements.

3. Any payments in Shares or in cash remaining due to be paid

under the prior agreements shall be waived and replaced with

the following payment schedule:

a) $10,000 cash, payable before, but no later than June 15,

2003.

b) 200,000 post-consolidated, free-trading shares, payable

before, but no later than June 15, 2003.

4. Work Commitments -- All outstanding exploration requirements

and dates in the prior Option Agreements shall be waived and

replaced with $35,000 in combine work before June 15, 2003 and

an additional $35,000 in combined work before October 15 2003.

5. The Syndicate hereby agrees to provide the above amendment, in

lieu of an extension for the second payment to June 15, 2003

as agreed to in both prior Option Agreements, provided that if

the amended option payments are not made by June 15, 2003 then

Apex agrees to relinquish any and all of its rights under the

options. This amendment will have no effect on any of the

other provisions of the agreements.

The Independence Claims host a number of Gold prospects. Chip samples from the underground workings returned values as high as 7.54 grams of Gold per ton.

On the Bluebird Claims, eight grab samples were analyzed and returned values in excess of 2 grams of Gold per ton including one value of 16.8 grams of Gold per ton.

The existence of these occurrences suggests a favorable environment for Gold during the Spring and Fall 2003 Work Programs.
