(inc. 1850). , MO March 30, 2004 MINUTES CALL TO ORDER MTNA MTNA Music Teachers National Association MTNA Middle Tennessee Nursery Association (McMinnville, Tennessee) President Phyllis Pieffer called the meeting to order at 7:30 A.M. on March 30, 2004. QUORUM A majority of an entire body; e.g., a quorum of a legislative assembly. A quorum is the minimum number of people who must be present to pass a law, make a judgment, or conduct business. REPORT OF THE TREASURER Secretary/Treasurer Benjamin Caton reported that MTNA is in good financial health and as of February 29, 2004, MTNA had assets of $2,422,103.85 with liabilities of $32,694.00 and unrestricted net assets Net assets The difference between total assets on the one hand and current liabilities and noncapitalized long-term liabilities on the other hand. net assets See owners' equity. of $2,389,409.85. BUSINESS Bylaws The rules and regulations enacted by an association or a corporation to provide a framework for its operation and management. Bylaws may specify the qualifications, rights, and liabilities of membership, and the powers, duties, and grounds for the dissolution of an Amendment The MTNA Board of Directors recommended the following amendment to the MTNA Bylaws: Current Bylaw by·law n. 1. National and Division Vacancies and Removal a. A vacancy in any national office, except that of National President, shall be filled for the unexpired term by plurality vote by ballot of the general membership. A National President-elect selected in this manner cannot assume the office of National President unless elected to the office in the same manner as the other officers. A vacancy in any Division office, except that of Division President, shall be filled for the unexpired term by a plurality vote by ballot of the Division membership. A Division President-elect selected in this manner cannot assume the office of Division President unless elected to the office in the same manner as the other officers. Proposed Amendment Article V.
