Andrx Sells Massachusetts Aerosol Manufacturing Operation to Amphastar.

FORT LAUDERDALE, Fla.--(BUSINESS WIRE)--Oct. 10, 2003

Andrx Corporation ("Andrx" or "Company") (Nasdaq:ADRX) today announced that it has sold Armstrong Pharmaceuticals, Inc., its Massachusetts-based aerosol manufacturing company, to Amphastar Pharmaceuticals, Inc., a California-based generic and specialty pharmaceutical company. Andrx had previously disclosed that it was seeking to possibly divest this entity. In connection with this transaction, Andrx has agreed, under certain circumstances, to continue to purchase certain minimum quantities of Albuterol MDI (metered dose inhalers) for at least one year. Albuterol MDI is an AB rated generic version of Ventolin(R), which is used in the treatment of acute episodes of bronchospasm or the prevention of asthmatic symptoms. The agreement with Amphastar contains customary terms and conditions and includes Andrx's undertaking to indemnify Amphastar against certain potential liabilities of Armstrong, including any liability of Armstrong arising under the previously reported pending claim of Alpharma USPD Inc. ("Alpharma") for the alleged breach by Armstrong of its manufacturing agreement with Alpharma. A lawsuit was recently filed in connection with this claim.
