Anasazi and Utell International Announce Merger; Anasazi and Utell International to Form New Company, REZsolutions.

LONDON--(BUSINESS WIRE)--Oct. 10, 1997--It was announced today that Anasazi Inc., a leading supplier of technology and marketing services to the hospitality industry, intends to merge its business with Utell International, Reed Elsevier plc's hotel representation and reservations business.

The new company, to be called REZsolutions Inc., will be jointly owned by Reed Elsevier plc and Anasazi Inc. and will be headquartered in Phoenix, Ariz. It is anticipated that the transaction will be completed within the next few weeks, subject to regulatory approval.

Both companies agree that the merger of Anasazi Inc. and Utell International is an excellent strategic fit. The new company will offer its customers in the travel and hospitality industry a broad portfolio of products and services including leading-edge technology solutions, hotel representation and marketing programs, and reservations outsourcing services. Additionally, the synergies achieved by the merger will enable REZsolutions Inc. to penetrate new markets and provide superior customer service and support around the world.

Reed Elsevier and Anasazi will have equal representation on the board of directors of REZsolutions Inc. A Reed Elsevier nominee will be non-executive chairman and W. Thomas Castleberry, currently chief executive officer of Anasazi, will serve as CEO. Additionally, the three main businesses will be led by Mike Hope as president and COO of Utell International, C. Joseph Atteridge as President and COO of Anasazi Inc., John H. Holdsworth as president and COO Anasazi Travel Resources Inc. (ATRI). Additional members of the Executive Committee include: Ben Bengougam, Human Resources; Vern Snider, Mergers and Acquisitions; William R. Misunas, Corporate Marketing; Mike Ball, Hotel Brands; and Kevin Hanson, acting chief financial officer.
