 of 6.95 percent paid semi-annually on the 15th of June and December beginning on December 15, 1998, and will yield 6.972 percent. The notes are rated Baa2/BBB (Moody's/S&P).

Proceeds from the sale of the notes will be used to pay down indebtedness on an existing line of credit. Salomon Smith Barney served as lead manager with Goldman, Sachs & Company, Chase Securities Inc. and Credit Suisse/First Boston Corporation as co-managers.
