The company said that it had been informed by NASDAQ that, although the company meets all of the previous maintenance listing criteria and all but one of the newly adopted maintenance listing criteria that became effective Feb. 23, 1998, the company will not continue its listing on the NASDAQ SmallCap market effective Feb. 25, 1998. The newly adopted maintenance criteria is expected to effect some 600 NASDAQ listed companies.

The company said that the one newly adopted continued maintenance listing criteria that the company does not currently meet relates to net income. The company noted that it currently exceeds the net income test in its current fiscal year by reporting net income of more than $500,000 for the fiscal six months ended Dec. 31, 1997. The company is presently appealing NASDAQ's ruling.

The company further pointed out that since its restructuring in June 1997, it has attained two consecutive profitable quarters and with its current annual sales rate for fiscal 1998 of $100 million that it is one of the top 10 non-integrated domestic freight forwarders in the United States United States, officially United States of America, republic (2005 est. pop. 295,734,000), 3,539,227 sq mi (9,166,598 sq km), North America. The United States is the world's third largest country in population and the fourth largest country in area. .
