:ARGNA) Thursday announced that it has filed a complaint seeking declaratory relief declaratory relief n. a judge's determination (called a "declaratory judgment") of the parties' rights under a contract or a statute often requested (prayed) for information in a lawsuit over a contract.  to resolve interpretation of certain aspects of a license agreement with Audio Navigation Systems Inc. (ANSI (American National Standards Institute, New York, www.ansi.org) A membership organization founded in 1918 that coordinates the development of U.S. voluntary national standards in both the private and public sectors. It is the U.S. member body to ISO and IEC. ), a licensor of technology to Amerigon.

The complaint was filed yesterday in Superior Court in Los Angeles Los Angeles (lôs ăn`jələs, lŏs, ăn`jəlēz'), city (1990 pop. 3,485,398), seat of Los Angeles co., S Calif.; inc. 1850. . In the complaint, Amerigon asks the court to clarify certain points of contention in its license agreement with ANSI, which has licensed certain worldwide rights to the AudioNav in-vehicle navigation system to Amerigon.

The AudioNav is a voice-interactive navigation system for automobiles. ANSI licensed to Amerigon in 1992, specified worldwide rights to certain AudioNav-related technology. Since then, Amerigon has been developing commercial voice interactive products.

Amerigon's President and Chief Executive Officer, Dr. Lon E. Bell, explained that Amerigon and ANSI have been working cooperatively on the development of the AudioNav for several years. Amerigon and ANSI, however, have been unable to come to final agreement on the implementation of certain terms of their agreement.

to the distribution of software, royalty rights, and other contractual obligations so that Amerigon and ANSI can proceed with their work. "The purpose of the suit for declaratory relief is to ask the courts to clarify the rights of Amerigon and ANSI under the licensing agreement," said Bell. "We believe that this action will allow us to resolve these issues in the fastest way possible."

Bell said, "Amerigon will continue with its production preparation and marketing activities for the AudioNav, which we plan to introduce in mid-1995, although there is some risk of delay from having to resolve software distribution issues." He added that, "this action does not affect Amerigon's other three product lines which have a combined booked backlog in excess of $9 million."

Founded in 1991, Amerigon designs and manufactures proprietary, high-margin products for the conventional automotive and emerging electric vehicle markets.
