:RAZR) (the "Company") today announced that the period during which holders of its 9 7/8% Series B Senior Notes due 2005 would have had the right to receive a consent payment for the delivery of consents solicited pursuant to the Offer to Purchase and Consent Solicitation Statement dated February 22, 1999 (the "Statement") expired on March 5, 1999.

As more fully described in the Statement, the Company is currently soliciting consents to proposed amendments to the Indenture pursuant to which the Notes were issued. As of March 5, 1999, the Company had not received the required number of consents to effect the proposed amendments. Holders of the Notes may continue to deliver consents either alone or in conjunction with the tender of the Notes in response to the offer and solicitation, on the terms and conditions set forth in the Statement, although the Company is no longer obligated ob·li·gate
