The Company issued $138.0 million of five-year 5.75% fixed rate convertible debentures during 1997. Purchases, up to $30 million in market value, may be made in the open market or privately negotiated transactions. The timing and amount will depend upon prevailing market conditions, alternative uses of capital and other factors. The program is expected to be completed during 2000.
