)(the "Company") announced that at its June 30, 1998, Annual Meeting of Stockholders, all proposals presented to the Stockholders passed. The proposals approved by the Stockholders were as follow:

1. Douglas L. Hawthorne was re-elected and Joseph P. Shields was elected to serve on the Board of Directors for three-year terms.

2. The selection of KPMG Peat Marwick LLP as the Company's independent auditors for 1998 was ratified.

3. Amendment of the Company's Restated Certificate of Incorporation to limit the personal liability of the directors for monetary damages to the fullest extent permitted by the Delaware General Corporation Law was approved.

At the meeting, President and C.E.O. Rick G. Avare welcomed the new Director, Joseph P. Shields, who currently also serves as Senior Vice President of Energy Services for New Jersey Natural Gas Company. Mr. Avare commented that "the expertise Joe Shieldsbrings to the Board will be of tremendous assistance to Management in its production and marketing strategies as we continue to experience significant increases in our production volumes."
