American Medical Technologies Announces Intent to Acquire Spectrum Dental Inc.

:ADLI) today announced it is in final discussions to purchase Spectrum Dental, Inc. for three million shares of AMT's common stock and $500,000.

Spectrum Dental markets its products to professional dental customers in the United States United States, officially United States of America, republic (2005 est. pop. 295,734,000), 3,539,227 sq mi (9,166,598 sq km), North America. The United States is the world's third largest country in population and the fourth largest country in area.  and around the world via a wholesale distribution system that includes major dental supply companies such as Henry Schein and Patterson Dental. Founded in 1994 as Interdent Inc., Spectrum Dental changed its name to Spectrum Dental, Inc. in 1999.

As part of the agreement, AMT will sign a manufacturing agreement with Westside Packaging Inc., the current manufacturer of the Spectrum Dental line, to continue manufacturing the Spectrum Dental product line for AMT.

AMT also announced that as part of the same transaction, AMT will sell its 45,000 square-foot Corpus Christi facility for $1.9 million to the Sepulveda Group LLC (Logical Link Control) See "LANs" under data link protocol.
