Geography -- American Insulock Inc. (the "Company") (CNQ CNQ Cost of Non Quality CNQ Canadian Trading & Quotation System Inc. CNQ Club Neon Quebec (Quebec Neon Club) :AIKI.U) announces that the agreement ("Agreement") that the Company entered into with MarketSmart Communications Inc. ("MarketSmart"), as announced on January 6, 2005, has been amended. Pursuant to an amendment agreement dated January 12, 2005, the parties have agreed to amend the vesting schedule Vesting Schedule Schedule setting forth when, and to what extent, options become exercisable or restricted stock or stock units are no longer subject to forfeiture (for example, 20% per year over five years). for the 1,000,000 stock options granted to MarketSmart so that MarketSmart will have the right to purchase: - up to 360,000 shares in the Company's stock during the first year of the Agreement; - up to 340,000 shares in the Company's stock during the second year of the Agreement; and - up to 300,000 shares in the Company's stock during the third year of the Agreement. Any options not exercised during the year in which they vest will be cancelled at the end of that year. MarketSmart has not yet exercised any stock options. The Company's core business is the manufacture and distribution of its brand of insulating concrete forms Insulating Concrete Forms (ICFs) are stay-in-place formwork for energy-efficient, cast-in-place reinforced-concrete walls. The forms are interlocking modular units that are dry-stacked (without mortar) and filled with concrete. (known as Insulock Blocks), together with the equipment that is used to manufacture these blocks. Insulock Blocks are made of polyurethane polyurethane Any of a class of very versatile polymers that are made into flexible and rigid foams, fibres, elastomers (elastic polymers), surface coatings, and adhesives. rather than polystyrene polystyrene (pŏl'ēstī`rēn), widely used plastic; it is a polymer of styrene. Polystyrene is a colorless, transparent thermoplastic that softens slightly above 100°C; (212°F;) and becomes a viscous liquid at around 185°C; (i.e., Styrofoam(R)), which is the material that is used by virtually every other manufacturer of insulating concrete forms. Insulock Blocks are much stronger than polystyrene blocks and can be used to construct soundwalls and buildings that are highly effective at absorbing sound and that have an R-30 or R-38 heat insulating value.
