    August 20, 1996 acquired American Image Motor Co., a
California concern, formed on the same date to purchase the
businesses of Cycle Imagery in exchange for 10,000,000 common
shares.  Following the acquisition, the company bought Cycle Imagery,
a sole proprietor that manufactured, serviced, repaired and sold
motorcycles, for total consideration of $100,000 consisting of
$33,000 in cash and $67,000 to be paid upon the company securing
permanent equity financing.  The company also purchased the assets of
a related business, Cycle Imagery Customs, Inc.
