By Agreement  of its agreement with The National Institutional Pharmacy Services of Houston, LP. (NIPSI-Houston). Both parties acknowledge that a restructuring of the transaction is necessary if it is to meet each party's expectations. AMHR does not anticipate that the rescission of this transaction will significantly impact the balance sheet or income statement of AMHR. AMHR feels that its priorities are better allocated to completing other time-sensitive acquisitions already in the final negotiation and financing phase and will revisit re·vis·it

Christopher Wheeler, the founder and chief executive officer of AMHR, stated: "The NIPSI-Houston transaction did not live up to our expectations for a regional component of AMHR. While the issues to be negotiated with NIPSI are manageable, the timetable to resolve them is not. We are currently in the final negotiation and funding phase of two acquisitions that are time-sensitive and we will focus our efforts on these acquisitions first. We are here to build a quality company and we are not in a hurry to complete a deal that doesn't make a valuable contribution to the business. In addition, the tabling of the NIPSI issue will allow us to file our annual audits without any further delay. We anticipate the annual audits to be filed on or about April 15."
