The stock split will be effected in the form of a 100 percent stock dividend, and the new shares will be distributed on Dec. 19, 2003, to stockholders of record at the close of business on Dec. 5, 2003. American Healthways had 15,796,732 common shares outstanding at Aug. 31, 2003.
