Holders of common stock of American Healthways as of June 30, 2000, will receive preferred stock Stock shares that have preferential rights to dividends or to amounts distributable on liquidation, or to both, ahead of common shareholders. Preferred stock is given preference over common stock. Holders of preferred stock receive dividends at a fixed annual rate. purchase rights as a dividend at the rate of one Right for each share of common stock. Rights should protect its stockholders against unfair takeover
techniques and other tactics that do not provide all the stockholders
the full value of their investment.
