American Health Properties, Inc. Provides Psychiatric Group Stock Distribution Update.


DENVER, Colo.--(BUSINESS WIRE)--July 17, 1995--American Health Properties, Inc. today provided additional information regarding the distribution of its Psychiatric Group Depositary DEPOSITARY, contracts. He with whom a deposit is confided or made.
     2. It is, the essence of the contract of deposits that it should be gratuitous on the part 'of the depositary. 9 M. R. 470.

As previously announced, shareholders will receive one Depositary Share for every ten shares of Common Stock held of record at the close of business on July 14, 1995. The actual distribution of the Depositary Shares will occur at the close of trading on July 25, 1995. Before July 26, 1995, the existing shares of Common Stock will trade on the NYSE NYSE

Prior to July 26, 1995, the Company anticipates that the Depositary Shares will commence trading on a "when issued" basis on the NASDAQ National Market ("when issued" symbol: "AHEZV"). The Company expects that the market makers for the Depositary Shares will include, among others, Alex. Brown & Sons and Goldman, Sachs & Co.

The second quarter cash dividend for both the Common Stock and the Depositary Shares will be payable on August 11, 1995 to shareholders of record as of July 31, 1995. Therefore, in order to participate in these second quarter dividends, new shareholders will need to purchase Common Stock and/or Depositary Shares on or before the close of trading on July 26, 1995. The Common Stock and the Depositary Shares will both trade "ex" the cash dividend beginning on July 27, 1995.

As previously announced, the second quarter dividend for the Common Stock will be $.495 per share and the second quarter dividend for the Depositary Shares will be $.80 per Depositary Share.
