American Group, Inc. in Continued Negotiations to Acquire Global Internet and National Supplier of Potted Plants.

The American Group, Inc. (OTC BB: MOSS) is in continued negotiations to acquire all of the assets of Plants Express, Inc. - www.plants-express.com -- a Florida-based supplier of potted plants with a major Internet presence and who has successfully developed a worldwide network for the design and manufacture of quality fashion containers, it was announced today by Eric Deckinger, president of The American Group. Plants Express has projected revenues for 1999 - 2000 of $4 million.

"The due diligence process is proceeding on course and we expect both parties to be able to reach an agreement soon," Deckinger said. "When complete, this acquisition will give The American Group a significant presence on the Internet and will open a vast number of new markets for the company." Deckinger said.

Plants Express markets potted plants in decorative containers direct to the consumer through its own website. The company also fulfills online plant orders for nationally recognized websites. The company also is a supplier to well-known national mail-order catalog distributors, such as gardening supply, floral, furniture, houseware and gift catalogs. It is also a supplier to the major national shopping television networks.

Other markets for the company's products include the $11-billion promotional and advertising specialty market. The company's customers in this market have included Federal Express (NYSE; FDX), American Airlines (NYSE: AMR), Compaq (NYSE:CPQ), Sheraton Hotels (NYSE: HOT) and many others. The company is also launching an innovative e-commerce Internet service fulfilling online orders direct from the greenhouse for thousands of independent florists nationwide.

Plants Express is a privately held firm based in Lake Worth, Fla.

The American Group presently distributes and markets blended soil products to wholesale nurseries in Florida. The company plans to eventually produce and market bagged potting soil for sale through large retail chains, building on the relationships it will acquire with the purchase of Plants Express.

The American Group, through its subsidiary Lantana Peat and Soil, currently operates a soil-blending plant in Palm Beach County with an annual production capacity of approximately $3 million. The company is constructing a new, $1.5-million soil blending plant which when completed, will have the capacity to produce in excess of $15 million in annual sales of custom blended soil mixes. The new state-of-the-art plant is being constructed in Dade County, in the heart of Florida's $1.5 billion-per-year horticultural industry.
