American Eco and Chempower Agree to $50.0 Million Merger.

) announced that they have entered into an agreement pursuant to which American Eco would acquire Chempower in a cash merger at a price of US$6.20 per share.

Chempower has approximately 7.8 million outstanding shares. The merger agreement has been approved by the American Eco and Chempower Boards of Directors. and is expected to be submitted to Chempower shareholders for their approval at a special meeting of shareholders anticipated to be held in November. The merger is also subject to arrangement of financing and requisite regulatory approvals.

Chempower which is a major service contractor in the utility industry, was founded by Toomas J. Kukk, Chairman and CEO (1) (Chief Executive Officer) The highest individual in command of an organization. Typically the president of the company, the CEO reports to the Chairman of the Board.  and Ernest M. Rochester, Vice-Chairman. Various insiders hold approximately 54.6% of the issued common shares of Chempower. Both Mr. Kukk and Mr. Rochester will continue as the senior executives of Chempower after the merger.
