) filed for an extension period in which to file SEC Form 10-KSB, for the year ended February 28, 1999, under Rule 12b-25.

The delay was caused by not finalizing parts of form 10-KSB by June 1, 1999 and other material information related to subsequent events. Rule 12b-25 provides for a 15 day grace period. American Digital Communications Inc. anticipates that the form 10-KSB will be filed within the grace period.
