American Consolidated Growth announces results.


ENGLEWOOD, Colo.--(BUSINESS WIRE)--Nov. 10, 1994--American Consolidated Growth Corp. (AMGC) announced Thursday its best quarterly revenues in the history of the company.

The acquisition of Eleventh Hour, which was completed in the quarter just ended, added gross revenues of $2,608,000 resulting in $97,611 pre-tax profit for the quarter just ending.

Eleventh Hour reported a record-breaking month in October by recording in excess of $1 million in revenue.

American Consolidated Growth Corp. announced in the quarter just ended, they purchased 46% of MaxMusic for 1.2 million shares of its restricted common stock.

American Consolidated Growth Corp. took the acquisition subject to a prior merger agreement with Metallurgical met·al·lur·gy

Subsequently, in keeping with its policy of shareholders' rights, American Consolidated Growth Corp. has decided to offer American Consolidated Growth Corp. common stock to any shareholders of MTAA who purchased stock from the period of Feb. 11, 1994, to Nov. 8, 1994, on a basis of seven shares to one in reliance of the MaxMusic merger.

Shareholders accepting this offer must be bona fide purchasers bona fide purchaser n. commonly called BFP in legal and banking circles; one who has purchased an asset (including a promissory note, bond or other negotiable instrument) for stated value, innocent of any fact which would cast doubt on the right of the seller to have  of the stock.
